Establishment (Foundation) of a Merchant Company

Merchant is a person who even partially (or completely) operates a commercial entity in its name and on its behalf. (Turkish Commercial Code, Article 12).
Commercial title of natural person merchant is formed by stating the merchant’s full name and surname without abbreviation. Appropriate addition(s) may be made to name and surname in conformity with 46th article of Turkish Commercial Code.
Plural suffixes, names of other persons and foreign words should not be used in the commercial title as if it is reminding of a partnership.
If the merchant is under guardianship and custody or a legal consultant is assigned for him/her first of all registration of guardian, custodian and legal consultant is carried out. If the said events occur afterwards, the same provisions are enforced.

Registration Procedures (Transactions)
(1-) Petition must be signed by the merchant with the company seal, if is signed by proxy, original form or authenticated copy of the power of attorney must be enclosed, tax office where the company is registered must be indicated and included with the attached documents. The commercial title, capital, registered office, starting date of business, field of activity on this date and NACE code regarding that must be specified clearly and the following statement must be included as; “the information contained in this petition is complete and accurate, if otherwise is determined the person or persons signing this petition shall be responsible.”
(2-) Attestation of commercial title prepared in the Notary Public, (and should include, resident and office address, field of activity, starting date of business, nationality, TR Identity number of the merchant (if the merchant is a foreign national, tax number obtained from tax office, his/her commercial title and 3 specimen signatures under the commercial title),
(3-) Chamber Registration Statement, (must be signed by the merchant and must be with photo of the merchant,
(4-) Copy of the tax plate (Tax plate of the merchant/sole proprietorship subject to registration shall be evaluated for the registry upon the control of that request from the link https://intvd.gib.gov.tr/internetvd/index.jsp (via VEDOP system) pursuant to the regulation of Ministry of Customs and Trade General Directorate of Domestic Trade dated 25.01.2013 and numbered 544. For this reason, tax plate copy will be asked during the registration requests of merchant/sole proprietorship and registry transaction will be performed in respect to the said entities/firms of which determined as registered in tax office following the electronic environment check.
(5-) If the merchant is a foreign national, his/her translated and notarized passport copy, also if he/she is residing in Turkey, his/her notarized residence permit,
(6-) Amount of capital regarding the establishment of natural person merchant/sole proprietorship firms must be indicated minimum 100.- TL, if the amount of capital is declared more than 5.000.- TL an activity report of sworn-in certified public accountant or certified public accountant or certificate of activity or bank receipt in respect to the determination of that amount.
