Establishment (Foundation) of Companies with Foreign National Partners
Commandite Companies having foreign national partner(s) / shareholder(s)
Document(s) required for the establishment of collective companies are also valid for commandite companies.
If the commanditer shareholder / partner is a legal entity; certificate of activity prepared by authorized courts or chamber of commerce and industry regarding the company of the country where it is registered of which certified either in conformity with the provisions of Hague Convention Abolishing the Requirement for Legalization for Foreign Public Documents (apostille) or by Turkish Consulate and notarized translation of registry summary. Translated and notarized power of attorney given to the natural person who will execute the establishment procedures.
Collective Companies having foreign national partner(s) / shareholder(s)
(1-) Petition (must be signed by the authorized person or by proxy) original or authenticated form of the power of attorney must be attached.
(2-) Establishment Statement (or Statement of Establishment) consisting of 3 pages,
(3-) Notarized articles of association (founding charter) signed by all the shareholders (partners) (4 copies),
(4-) Statement of signature (declaration of signature or the list of authorized signatures) of the authorized person(s) under the commercial title of the company (2 copies),
(5-) The following listed documents authenticated in conformity with the provisions of Hague Convention Abolishing the Requirement for Legalization for Foreign Public Documents (apostille) or by Turkish Consulate;
(6-) TR Identification record if TR Id numbers of the shareholders are not stated,
(7-) Translated and notarized passport copy of the foreign national shareholder/partner (2 copies) and tax number record,
(8-) Chamber Registration Statement, (must be signed by the authorized persons and must be with photos of the partners/shareholders,
(9-) If the shareholder/merchant is a TR citizen residing abroad, work or residence permit must be attached. (in authenticated form). If the merchant is a foreign national residing in Turkey, residence permit must be submitted. (in authenticated form)
Cooperatives having foreign national partner(s) / shareholder(s)
(1-) Petition (must be signed by the authorized person or by proxy) original or authenticated form of the power of attorney must be attached.
(2-) Contract booklet authenticated by the related ministry (2 copies),
(3-) Permission writ / license of the (related) Ministry,
(4-) TR Identification record of the founders if TR Id numbers of them are not stated on the documents,
(5-) Translated and notarized passport copy of the foreign national shareholder/partner (2 copies) and tax number record,
(6-) Statement of signature (declaration of signature or the list of authorized signatures) of the members of the board of directors (administrative board) under the title of the cooperative, (1 copy)
(7-) The following listed documents authenticated in conformity with the provisions of Hague Convention Abolishing the Requirement for Legalization for Foreign Public Documents (apostille) or by Turkish Consulate;
(8-) Summary of articles of association (founding charter) in notarized form (2 copies),
(9-) Chamber Registration Statement, (must be signed by the authorized persons and must be with photos of the partners/shareholders,
If the shareholder/partner is a TR citizen residing abroad, work or residence permit must be attached. (in authenticated form). If the shareholder/partner is a foreign national residing in Turkey, residence permit must be submitted. (in authenticated form). Members of the Administrative Board of the Cooperatives must be TR nationals pursuant to the 56th article of Cooperatives Code.
Limited Liability Companies having foreign national partner(s) / shareholder(s)
(1-) Petition (must be signed by the authorized person or by proxy) original or authenticated form of the power of attorney must be attached.
(2-) Establishment Statement (or Statement of Establishment) consisting of 3 pages,
(3-) Notarized articles of association (founding charter) signed by all the shareholders (partners) (4 copies),
(4-) TR Identification record of the founders and company managers if TR Id numbers of them are not stated on the documents,
(5-) Translated and notarized passport copy of the foreign national shareholder/partner (2 copies) and tax number record,
(6-) Statement of signature (declaration of signature or the list of authorized signatures) of the company managers under the title of the cooperative, (2 copies)
(7-) Related documents authenticated in conformity with the provisions of Hague Convention Abolishing the Requirement for Legalization for Foreign Public Documents (apostille) or by Turkish Consulate;
(8-) Original of Bank receipt (receipt from Türkiye Halk Bankası Ankara Kurumsal Branch stating that the 4/10.000 of the capital is deposited to the Arbitration Court, or the EFT receipt signed and stamped “collected” Account No:80000011 (IBAN NO:TR40 0001 2009 4520 0080 0000 11) ),
(9-) Chamber Registration Statement, (must be signed by the authorized persons and must be with photos of the partners/shareholders,
- If the foreign national shareholder/partner is a natural person, translated and notarized passport copy of the foreign national shareholder/partner and tax number record, if the shareholder/partner is a TR citizen residing abroad, work or residence permit, if the shareholder/partner is a legal entity, certificate of activity prepared by authorized courts or chamber of commerce and industry regarding the company of the country where it is registered of which certified either in conformity with the provisions of Hague Convention Abolishing the Requirement for Legalization for Foreign Public Documents (apostille) or by Turkish Consulate and notarized translation of registry summary. Translated and notarized power of attorney given to the natural person who will execute the establishment procedures.
In case of investing securities of the foreign companies established in the foreign countries by the foreign national shareholders for the company to be founded, notarized translation of the document stating the valuation and determination of the said companies’ assets, expert report or report prepared by the international rating agencies or the local government offices dealing with the said matters to be authenticated in conformity with the provisions of Hague Convention Abolishing the Requirement for Legalization for Foreign Public Documents (apostille) or by Turkish Consulate;
If the shareholder/partner is a TR citizen residing abroad, work or residence permit must be attached. (in authenticated form). If the shareholder/partner is a foreign national residing in Turkey, residence permit must be submitted.
